BidCiti.com jobs applicant information We also collect information that is provided to us by BidCiti.com jobs candidates (“Applicants”), when they apply to any of the open positions published at https://www.BidCiti.com/jobs, by e-mail or otherwise (as further described in our Privacy Policy for Job Applicants). 3. Why do we collect such ‘Personal Information’? We use your Personal Information for the following purposes: To provide and operate the Services. To further develop, customize, expand, and improve our Services, based on Users’ common or personal preferences, experiences and difficulties. To provide our Users with ongoing customer assistance and technical support. To be able to contact our Users with general or personalized service-related notices and promotional messages (as further detailed in Section 8 below). In case that BidCiti.com shares personal data with a Third-Party Service Provider that provides AI services, BidCiti.com will ensure that the Third-Party Service Provider is under a contractual obligation not to use the data in order to train or improve its AI models. 4.2. Law Enforcement, Legal Requests and Duties: BidCiti.com may disclose or otherwise allow access to any categories of your Personal Information described in this Privacy Policy pursuant to a legal request, such as a subpoena, legal proceedings, search warrant or court order, or in compliance with applicable laws, if we have a good faith belief that the law requires us to do so, with or without notice to you. 4.3. Upon Your Further Direction: The BidCiti.com Services enable you, through different techniques, to engage and procure various third party services, products and tools for enhancing your web or mobile sites, including, without limitation, applications and widgets offered to you by third parties through the BidCiti.com Website (including the BidCiti.com App Market), eCommerce payment providers, third party designers who may assist you with your website, etc. (collectively, “Third Party Services”). If you choose to engage with such Third-Party Services, they may have access to, and process Personal Information of your Users-of-Users collected through your web or mobile sites. For example: a) Framed Pages: our Services may enable you to integrate Third Party Services directly into your web or mobile sites, such as via page framing techniques to serve content to or from Third Party Services or other parties (“Frames”). In these circumstances, the Third-Party Services may collect Personal Information from your Users-of-Users. b) App Market Developers: We allow third party developers (“Third Party Developer(s)”) to develop and offer their own applications via the BidCiti.com App Market (“Third Party App(s)”) to Users, which you may integrate into your web or mobile sites. Each Third-Party Developer is bound by the BidCiti.com App Market Partner Agreement, which among other things, restricts the ways in which such developers may access, store, share, and use the Personal Information you and/or your Users-of-Users provide to them. c) Social Media Features: Our Services may enable you to integrate certain Social Media features, widgets, and single sign on features, such as “Facebook Connect,” or “Google Sign-in” (“Social Media Features”) into your web or mobile sites. These Social Media Features may collect certain Personal Information from your Users-of-Users such as identifiers, including name, alias, unique personal identifier, online identifier, internet protocol address, email address, or other similar identifiers. Social Media Features are hosted either by a third party or directly on our Services. Please note that in the examples listed above in this Section 4.6, BidCiti.com merely acts as an intermediary platform allowing you to procure the services of such Third-Party Services (including, but not limited to, Third Party Developers, Third Party Apps and Social Media Features) with which you are interacting directly, and at your discretion. In this respect, BidCiti.com acts as a service provider to you, disclosing information to the Third-Party Services on your behalf. BidCiti.com will share your Users-of Users’ Personal Information with Third Parties Services only upon your direction or with your permission and is not, and shall not be, in any way responsible for such Third-Party Services processing of such Personal Information, or liable with respect thereto. BidCiti.com does not control and is not responsible for the actions or policies of any Third-Party Service, and your use of any Third Party Service is at your own risk. We encourage you to review any privacy policy accompanying a Third-Party Service and ask such Third-Party Service for any clarifications you may need before deciding to install and/or use their services. 5. Where do we Store/Process your ‘Personal Information’? 5.1. Data Transfers. BidCiti.com processes data about individuals across the world and may transfer your Personal Information outside of your country. Your security, privacy and confidentiality are our top priority and that's why BidCiti.com conducts a vetting process that includes an assessment of the privacy laws in those countries to validate they have strong data protection laws. 5.2. EU Adequacy Decision. User's personal information is controlled by BidCiti.com.com Ltd. in Israel, which the European Commission considers as a country offering an adequate level of protection for the Personal Information of E.U. Member State residents (see here). 5.3. Data Transfers Outside of EU/EEA/UK. If you are in Europe, the U.K., or Switzerland, when we transfer your Personal Information to a location outside of Europe, We will make sure that (i) there is a level of protection deemed adequate by the European Commission or (ii) that the relevant Standard Contractual Clauses are in place (i.e., the applicable module of the Standard Contractual Clauses for the transfer of personal data to third countries pursuant to Regulation (E.U.) 2016/679 of the European Parliament and of the Council from June 4, 2021, as available here, and the ICO’s International Data Transfer Addendum to the E.U. BidCiti.com has been certified to the U.S. International Trade Administration (ITA), within the U.S. Department of Commerce that it adheres to the Data Privacy Framework Principles. If there is any conflict between the terms in this Policy and the Data Privacy Framework Principles, the Data Privacy Framework Principles shall govern. BidCiti.com.com has further committed to refer unresolved Data Privacy Framework complaints to an alternative dispute resolution provider located in the United States. If you have an unresolved privacy, or data use, concern that we have not addressed satisfactorily, please contact our U.S.-based third-party dispute resolution provider TRUSTe at https://feedback-form.truste.com/watchdog/request for more information or to file a complaint. The services are provided at no cost to you. If you have such an unresolved complaint, under the recourse mechanism you may contact the applicable EU Data Protection Authorities (free of charge). BidCiti.com commits to cooperating with the DPAs and comply with the advice given by such authorities. If you do not receive timely acknowledgment of your complaint from us, or if we have not addressed your complaint to your satisfaction, you may - under certain conditions described on the Data Privacy Framework website - invoke binding arbitration when other dispute resolution procedures have been exhausted. For more information on this option, please see Annex I of the Data Privacy Framework Principles. 6. Users-of-users’ ‘Personal Information’ BidCiti.com may collect, store and process certain Personal Information of Users-of-Users (“Users-of Users Information”), solely on our users’ behalf and at their direction. For example, each of our Users can import their email contacts from third-party services like Gmail or otherwise collect and manage contacts via their User Website. Such contacts are then stored with BidCiti.com, on the User’s behalf. For such purposes, BidCiti.com serves and shall be considered as a “Processor” and not as the “Controller” (as both such capitalized terms are defined in the European Union General Data Protection Regulation (“GDPR”)) of such Users-of-Users Information. The Users controlling and operating such User Websites shall be considered as the “Controllers” of such Users-of-Users Information and are responsible for complying with all laws and regulations that may apply to the collection and control of such Users-of-Users Information, including all privacy and data protection laws of all relevant jurisdictions. The Processing of the Users-of-users’ Personal Information shall take place within the territory of the European Union, Israel or a third country, territory or one or more specified sectors within that third country of which the European Commission has decided that it ensures an adequate level of protection and such processing and transfer will be in accordance to the Data Processing Addendum – Users (“DPA"). Any transfer to and Processing in a third country outside the European Union that does not ensure an adequate level of protection according to the European Commission, shall be conducted under an approved transfer mechanism, as detailed in the DPA. You are responsible for the security, integrity and authorized usage of Personal Information about Users-of-Users, and for obtaining consents, permissions and providing any required data subject rights and fair processing notices required for the collection and usage of such Personal Information. BidCiti.com cannot provide legal advice to Users or their Users-of-Users, however we do recommend that all Users publish and maintain clear and comprehensive privacy policies on their User Websites in accordance with any applicable laws and regulations, and that all Users-of-Users carefully read those policies and make sure that they understand and, to the extent required by applicable law, consent to them. For more information on how Users-of-Users Personal Information may be handled by BidCiti.com (which may be relevant for any specific notice you provide to and/or consent you obtain from your Users-of-Users), please see Sections 4, 12 and 13. If you are a visitor, user or customer of any of our Users, please read the following: BidCiti.com has no direct relationship with Users-of-Users whose Personal Information it processes. If you are a visitor, user or customer of any of our Users, and would like to make any requests or queries regarding your Personal Information, please contact such User(s) directly. For example, if you wish to request access, correct, amend, or delete inaccurate Personal Information processed by BidCiti.com on behalf of its Users, please direct your query to the relevant User (who is the “Controller” of such data). If BidCiti.com is requested by our Users to remove any Users-of-Users’ Personal Information, we will respond to such requests in a timely manner upon verification and in accordance with applicable law (for example, thirty (30) days under the GDPR). Unless otherwise instructed by our User, we will retain their Users-of-Users’ Personal Information for the period set forth in Section 12 below. Use of cookies and other third-party technologies. We and our Third-Party Service Providers use cookies and other similar technologies (“Cookies”) in order for us to provide our Service and ensure that it performs properly, to analyze our performance and marketing activities, and to personalize your experience. You can learn more about how we use cookies and similar technologies and how you can exercise control over them in our Cookie Policy. Please note that we do not change our practices in response to a “Do Not Track” signal in the HTTP header from a browser or mobile application, however, most browsers allow you to control cookies, including whether to accept them and how to remove them. Service and billing messages BidCiti.com may also contact you with important information regarding our Services, or your use thereof. For example, we may send you a notice (through any of the means available to us) if a certain Service is temporarily suspended for maintenance; reply to your support ticket or e-mail; send you reminders or warnings regarding upcoming or late payments for your current or upcoming subscriptions; forward abuse complaints regarding your User Website; or notify you of material changes in our Services. It is important that you are always able to receive such messages. For this reason, you are unable to opt out of receiving such Service and Billing Messages unless you are no longer a BidCiti.com User (which can be done by deactivating your account). We may also contact you with service and billing-related messages and content. You will not be able to opt out of receiving such messages. 9. Your rights in relation to your ‘Personal Information’ BidCiti.com believes that it is imperative that all BidCiti.com users have control over their Personal Information. Therefore, depending on the way you use the BidCiti.com Services, you may have the right to request access to, receive a copy of, update, amend or delete, port certain Personal Information to another service, restrict, or object to certain uses of your Personal Information (for example, for direct marketing purposes). Further, when we rely on your consent for processing of your Personal Information (for instance, for direct marketing) you can withdraw your consent at any time, and such withdrawal will take effect from thereon. BidCiti.com will not charge you more if you exercise any of these rights and will continue to provide you with the same level of service. If you are a BidCiti.com user, you can access and correct a lot of your Personal Information directly through your account, or via online forms BidCiti.com makes available to you (as detailed below). You can also exercise your rights by sending your request to john@bidcity.org , mailing it to BidCiti.com.com or reaching out to our customer care department. When we receive your right request, we may take steps to verify your identity before complying with the request to protect your privacy and security. Before fulfilling your request, we may ask you for additional information to confirm your identity and for security purposes. We reserve the right to charge a fee permitted by law (e.g. if your request is unfounded or excessive). You have the right to file a complaint with your local supervisory authority for data protection (but we still recommend that you contact us first). If you are a BidCiti.com User, and you wish to receive a copy, access and/or request us to make corrections to the Personal Information that you have stored with us (either yours or your Users-of Users’), or wish to request a list of what Personal Information (if any) pertaining to you we disclosed to third parties for direct marketing purposes, please follow the instructions provided in these Help Center articles: “Retrieving Your BidCiti.com Account Data” or "Permanently Deleting Your BidCiti.com Account”. Please note that permanently deleting your BidCiti.com account erases all your Personal Information from BidCiti.com's databases. After completing this process, you can no longer use any of your BidCiti.com Services, your account and all its data will be removed permanently and BidCiti.com will not be able to restore your account or retrieve your data in the future. If you contact our support channels in the future, the system will not recognize your account and support agents will not be able to locate the deleted account. Just reach out to us by e-mail, mail or through our customer care team, or, when available, fill out our dedicated form. You may also correct and/or update your Personal Information through your user account, if you have one. You can also delete your Personal Information by deleting your entire account. We will respond to your requests within a reasonable timeframe. 10. Your Intellectual Property As between BidCiti.com and you, you shall own all intellectual property pertaining to your User Content and to any other materials created, developed, or connected to BidCiti.com Services by you, including any designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, code, algorithms, SPIs, APIs, databases, interfaces, text and literary works. BidCiti.com does not claim ownership rights on your User Content or the content you connected to the BidCiti.com Services. You know and agree that in order to provide the Services to you and to maintain and improve the Services (the “Purpose”) we will need to access, upload and/or copy your User Content to our platform, including cloud services and CDN’s, to make display adjustments, to train our software tools (e.g. artificial intelligence and machine learning models), to duplicate for backup and perform any other technical actions and/or uses required to perform our services, as we deem fit. You hereby grant us a non exclusive, transferable, sub-licensable, royalty-free, and worldwide license to use your User Content for the Purpose. 3.2. Bid City’s Intellectual Property All rights, title and interest in and to the BidCiti.com Services, including any and all copyrightable materials or any other content thereof which is or may be subject to any intellectual property rights under any applicable law (including any artwork, graphics, images, website templates and widgets, literary work, source and object code, computer code (including html), applications, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives and versions thereof, the “look and feel” of the BidCiti.com Services, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, inventions, trade secrets, logos, domains, customized URLs, trademarks, service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered (collectively, “Intellectual Property”), and any derivations thereof, are owned by and/or licensed to BidCiti.com. Subject to your full compliance with the BidCiti.com Terms and timely payment of all applicable Fees, BidCiti.com hereby grants you, upon creating your User Account and for as long as BidCiti.com wishes to provide you with the BidCiti.com Services, a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to use the BidCiti.com Services and Licensed Content, for the purpose of generating and displaying your User Platform to End Users and offering your User Products (as defined below) therein, solely as expressly permitted under the BidCiti.com Terms, and solely within the BidCiti.com Services. The BidCiti.com Terms do not convey any right or interest in or to Bid City’s Intellectual Property (or any part thereof), except only for the limited license expressly granted above. Nothing in the BidCiti.com Terms constitutes an assignment or waiver of Bid City’s Intellectual Property rights under any law. In addition to the above, certain fonts made available to you within the BidCiti.com Services, are licensed to BidCiti.com by a third-party provider, and are therefore subject to additional license terms of such provider, which are summarized and available for your review at https://www.BidCiti.com.com/about 3.3. Feedback and Suggestions If you provide us with any suggestions, comments or other feedback relating to the BidCiti.com Services (whether existing, suggested or contemplated), which is or may be subject to any Intellectual Property rights (“Feedback”), such Feedback shall be exclusively owned by BidCiti.com. By providing such Feedback to BidCiti.com, you acknowledge and agree that it may be used by BidCiti.com in order to: (i) further develop, customize and improve of the BidCiti.com Services, (ii) provide ongoing assistance and technical support, (iii) contact you with general or personalized BidCiti.com -related notices and/or interview requests based on your feedback or otherwise, (iv) facilitate, sponsor and offer certain promotions, and monitor performance, (v) to create aggregated statistical data and other aggregated and/or inferred information, which BidCiti.com may use to provide and improve its services, (vi) to enhance BidCiti.com data security and fraud prevention capabilities, and (vii) to comply with any applicable laws and regulations. In addition, you (1) represent and warrant that such Feedback is accurate, complete, and does not infringe on any third party rights; (2) irrevocably assign to BidCiti.com any right, title and interest you may have in such Feedback and (3) explicitly and irrevocably waive any and all claims relating to any past, present or future moral rights, artists’ rights, or any other similar rights worldwide in or to such Feedback 4. Privacy Certain parts of the BidCiti.com Services (including certain Third-Party Services available therein, as further explained in Section 10 below) require or involve the submission, collection and/or use of certain personally identifying or identifiable information. And as a part of accessing or using the BidCiti.com Services, BidCiti.com and such Third-Party Services may collect, access and use certain data pertaining to Users and End Users, including the activities or navigation undertaken by Users and End Users through the BidCiti.com Services and/or User Platforms. We encourage you to read our Privacy Policy and each such Third-Party Services’ relevant policies on a regular basis, for a description of such data collection and use practices. 5. AI Services As part of the BidCiti.com Services, BidCiti.com may provide you with access to artificial intelligence and machine learning tools and products, which will help you build your User Platform by generating Content (the “AI Tools”). Additionally, BidCiti.com may provide you with access to artificial intelligence and machine learning tools and products for you to activate and thus offer your End Users the option to engage with AI (“AI Products”, and together with AI Tools - “AI Services”). This section applies only to the extent AI Services are used by you as part of the BidCiti.com Services. 5.1. Input and Output The AI Services enable you or your End Users to input, provide, or submit a prompt (in the form of text, image, or otherwise) (an “Input”) into the AI Services, and thus direct the AI Services to generate Content as an output (an “Output”). 5.2. Output Accuracy The nature of AI technology is such that it is difficult to fully control and predict outputs. As such, BidCiti.com does not represent or warrant that the Output generated by the AI Services will meet your or your End Users’ needs or expectations, and we disclaim all responsibility and liability for the accuracy, completeness, relevancy, intellectual property compliance, legality, decency, quality, non-bias, or any other aspect of such Output. This may happen, for example, in cases where the generated Output is related to medical, legal, or financial topics. The Output may also violate someone else’s rights, such as privacy or intellectual property rights. The Output may not be unique to you or your End Users, and other Users of the AI Services may generate their own Output that is identical or like Outputs that may be generated for you, or your End Users. Accordingly: You are responsible for reviewing all Outputs of AI Tools before you use, publish, transmit or display an Output in any manner, and for ensuring that you are legally permitted to use such Outputs. You must treat the Output as a mere suggestion and decide based on your sole discretion whether it represents your views, serves your intended purpose, and conveys the message you wish to convey. You are responsible for informing your End Users, when required by applicable laws and regulations, of any restrictions, limitations, or obligations the End Users need to comply with when using the Outputs of AI Products, including the need to review the Output before using it. You acknowledge that the generated Outputs do not represent Bid City’s views. 5.3. Your Input You agree that your, and your End Users’, Input shall be deemed User Content (as defined above) and the Terms shall apply, to the extent permitted by applicable law, to all such Input as if it were User Content. 5.4. Output ownership If you choose to use, publish, transmit or display an Output in any manner, it shall be considered your User Content (as defined above), and the Terms shall apply, to the extent permitted by applicable law, as if it were User Content. As between you (or your End Users) and BidCiti.com, BidCiti.com does not claim any ownership rights in the Output to the extent that the Output does not contain any pre-existing intellectual property owned by BidCiti.com. 5.5. License given to BidCiti.com To the extent a license is required under applicable laws and regulations, and in addition to the license you grant us under Section 3.1 above, you also grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to: (a) access, upload, copy, make and display adjustments, train our software tools, duplicate, and perform any other technical actions and/or uses with your (and your End Users) Input and Output in order to: improve BidCiti.com Services; review Inputs and Outputs for compliance with applicable laws and enforce the Terms; and (b) provide copies of your (and your End Users’) Inputs and Outputs to our Third-Party Services or to our subcontractors, as required to provide our Users with BidCiti.com Services. 5.6. Third-party Services BidCiti.com may use Third-Party Services to provide the AI Services to you and the use of such Third-Party Services will be subject to section 10 of these Terms. In your use of Bid City’s AI Services, including your use of any Inputs and Outputs, you acknowledge and agree to review and comply with, and to require each of your End Users to review and comply with, the Third-Party AI Services’ policies, which may change from time to time. 6. Service Fees 6.1. Paid Services The use of certain BidCiti.com Services may be subject to payment of fees, as determined by BidCiti.com in its sole discretion (“Paid Services” and “Fee(s)”, respectively). Important: if you are a Reseller User and your payment is made to the Reseller, then the provisions of subsections 6.1 (1), 6.1(4), 6.2, 6.3 (2), 6.4 (1) and 6.5 of this Section 6 with respect to such specific Paid Service may not apply to you and the payment and management of such Paid Service, shall be made directly with the Reseller according to the terms agreed upon between you and the Reseller. BidCiti.com will notify you of the Fees then in effect, you need to pay directly to BidCiti.com in relation to the Paid Services you decide to purchase from BidCiti.com. If you wish to receive or use the Paid Services, you are required to pay all applicable Fees in advance BidCiti.com reserves the right to change its Fees at any time in its sole discretion. BidCiti.com will send a notice regarding the change to you or your Reseller if such a change will affect your existing subscriptions you received a discount or other promotional offer, either from BidCiti.com or from a Reseller, BidCiti.com or the Reseller, respectively, shall have the right at the end of the applicable discounted period, to, automatically and without notice, renew your subscription to such BidCiti.com Service(s) at the full then current applicable Fee. All Fees paid directly to BidCiti.com shall be deemed to be in U.S. Dollars, except as specifically stated otherwise in writing by BidCiti.com. To the extent permitted by law (and unless specified otherwise by BidCiti.com in writing), all Fees are exclusive of all taxes (including value-added tax, sales tax, goods and services tax, etc.), levies or duties imposed by taxing authorities (“Taxes”), and you shall be responsible for payment of all applicable Taxes relating to your use of the BidCiti.com Services, or to any payments or purchases made by you. If BidCiti.com is obligated to collect or pay Taxes for the Fees payable by you, and whether such South Carolina were added and collected from you for previous transactions, such Taxes may be added to the payment of any outstanding Fees and will be reflected in the Invoice for such transaction. We recommend that you verify the existence of any additional fees you may be charged by third parties in connection with the purchase of Paid Services or in connection with the renewal thereof (such as international transaction fees, currency exchange fees, or fees due to banks or credit card companies). BidCiti.com is not responsible for any such additional fees or costs. If you purchase Paid Services directly from BidCiti.com, then as part of registering or submitting information to receive Paid Services, you also authorize BidCiti.com (either directly or through its affiliates, subsidiaries other third parties) to request and collect payment and service fees (or otherwise charge, refund or take any other billing actions) from our payment provider or your designated banking account, and to make any inquiries BidCiti.com or its affiliates may consider necessary to validate your designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from your payment, credit card or banking account provider (e.g., updated expiry date or card number as may be provided to us by your credit card company). You must keep a credit card stored with BidCiti.com to pay for your Paid Services (“Stored Card”) that are purchased directly from BidCiti.com. You will be able to identify your Stored Card by its last four digits on your Account Settings Page. 6.2. Invoices If you are a Reseller User and you pay the Reseller and not directly to BidCiti.com, the following Section 6.2 does not apply to you. BidCiti.com and/or its affiliated companies will issue an invoice or credit memo for any payment of Fees or refund made to or by BidCiti.com (“Invoice”). Each Invoice will be issued in electronic form and based on the country stated in your billing address and will be made available to you via your User Account and/or by e-mail. For issuing the Invoice, you may be required to provide certain Personal Information (as such term is defined in the Privacy Policy) in order to comply with local laws. Please note that the Invoice presented in your User Account may be inadequate with your local law requirements, and in such case may be used for pro forma purposes only. 6.3. Subscription Auto-Renewals In order to ensure that you do not experience any interruption or loss of services, certain Paid Services include an automatic renewal option by default, according to which, unless you turn off the auto renewal option is turned off by you or your Reseller, such Paid Services will automatically renew upon the end of the applicable subscription period, for a renewal period equal in time to the original subscription period (excluding extended periods) and, unless otherwise notified to you, (by BidCiti.com or your Reseller), at the same price (subject to applicable Taxes changes and excluding any discount or other promotional offer provided for the first period) (“Renewing Paid Services”). For example, if the original subscription period for a Service is one month, each of its renewal periods (where applicable) will be for one month. Accordingly, where applicable and as for Fees paid directly to BidCiti.com, BidCiti.com will attempt to automatically charge you the applicable Fees using the Stored Card, within up to two (2) weeks before such renewal period commences. In the event of failure to collect the Fees owed by you, we may in our sole discretion (but shall not be obligated to) retry to collect them later, and/or suspend or cancel your User Account, without further notice. If your Renewing Paid Service is subject to a yearly or multiple year subscription period, BidCiti.com will endeavor to provide you with notice prior to the renewal of such Paid Service at least thirty (30) days in advance of the renewal date. By entering these Terms of Use and by purchasing a Renewing Paid Service, you acknowledge and agree that the Renewing Paid Service shall automatically renew in accordance with the above terms. You (or the Reseller from which you purchase the Paid Services) may turn off the auto-renewal option for Renewing Paid Services at any time via your User Account or by visiting BidCiti.com Help Center. Certain domains are subject to a different renewal policy as detailed at Web.com Reseller Domain Name Registration Agreement and Tucows Reseller Domain Name Registration Agreement, as applicable. Notwithstanding anything to the contrary in the foregoing, you are, and shall be, solely responsible to verify and ensure the successful renewal of the BidCiti.com Services you use (whether such BidCiti.com Services are subject to automatic subscription renewals). Accordingly, you shall be solely responsible with respect to any discontinuation of any BidCiti.com Services previously purchased by you, including due to a cancellation, failure to charge the applicable recurring Fees, or due to any BidCiti.com Services not being subject to automatic subscription renewals. You acknowledge and agree that you shall not have any claims against BidCiti.com in relation to the discontinuation of any BidCiti.com Services or Third Party Services, for whatever reason. 6.4. Money-Back Guarantee If you are a Reseller User, and you pay the Reseller and not directly to BidCiti.com, Section 6.4 does not apply to you. If you are not happy with your initial purchase of a Premium Plan, you may provide notice of cancellation for any reason within fourteen (14) days of having first ordered or activated such Premium Plan (the “Refund” and “Refund Period”). The Refund is applicable only to the initial purchase of a Premium Plan which is an upgrade of a free website. The Refund is not applicable to any additional purchases, upgrades, modifications or renewals of BidCiti.com Services. If you reside in a jurisdiction that requires a longer Refund Period, we will accommodate such requirements in accordance with all applicable laws. If BidCiti.com receives such notice within the Refund Period, BidCiti.com will refund to you the amount BidCiti.com charged you for such BidCiti.com Services, in the currency you were originally charged in, and cancel the services accordingly. Please note that the Refund amount may be different than the amount you were charged due to currency changes and third-party fees. BidCiti.com will not be responsible for any differences caused by a change in currency exchange rates or fees you were charged by third parties. After the Refund Period, the Fees paid by you will be non-refundable and non-cancellable. In addition, if we find that a notice of cancellation has been given by a User in bad faith or in an illegitimate attempt to avoid payment for services received, we reserve our right to still charge the User for any BidCiti.com Services received, as permitted by the applicable law. Please note: Certain services purchased on or through BidCiti.com Services may be non-refundable altogether. These include Third Party Services such as domains, business tools and applications. The terms of each purchased service or application are indicated on the BidCiti.com Website and/or as part of or during the process of purchasing such services or applications. It is your responsibility to verify the ability to cancel a service prior to its purchase. BidCiti.com will not refund any amounts paid for non refundable Paid Services, applications or Third-Party Services. 6.5. Chargebacks If at any time, we record a decline, chargeback or other rejection of a charge of any payable Fees due directly to BidCiti.com, on your BidCiti.com account (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, and your use of the BidCiti.com Services may be automatically disabled or terminated. In the event a Chargeback is performed, your User Account may be blocked without the option to re-purchase or re-use it, and any data contained in such User Account, including any domains, applications and Third-Party Services may be subject to cancellation and Capacity Loss (as defined in Section 7.3 below). Your use of the BidCiti.com Services will not resume until you re-subscribe for any such BidCiti.com Services, and pay any applicable Fees in full, including any fees and expenses incurred by BidCiti.com and/or any Third-Party Services for each Chargeback received (including Fees for BidCiti.com Services provided prior to the Chargeback, handling and processing charges and fees incurred by the payment processor). If you have any questions or concerns regarding a payment made by you to BidCiti.com, we encourage you to first contact our Customer Support team before filing a Chargeback or reversal of payment, in order to prevent the BidCiti.com Services from being canceled and your User Account being blocked, and to avoid the filing of an unwarranted or erroneous Chargeback, which may result in your being liable for its applicable Fees, in addition to re-payment of all the Fees applicable to the BidCiti.com Services purchased (and charged-back) by you. We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and received or made use of the services rendered thereafter. . 7. Cancellation 7.1. Cancellation by User You may discontinue using and request to cancel your User Account and/or any BidCiti.com Services at any time, in accordance with the instructions available on the BidCiti.com Services. The effective date and t ime for such cancellation shall be the date and time on which you have completed the cancellation process on the BidCiti.com Services, and the effective date for cancellation of Paid Services shall be at the end of such Paid Services’ subscription period. Notwithstanding the aforesaid, any Paid Service (including Renewing Paid Services) purchased from a Reseller are subject to such cancellation terms as agreed between you and your Reseller. Notwithstanding anything to the contrary in the foregoing, with respect to subscriptions to Renewing Paid Services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment. Please note that as the cancellation process may take a few days, in order to avoid the next automatic renewal and respective charge, the cancellation request should be made - if purchased directly from BidCiti.com, at least fourteen (14) days prior to the expiration of the then-current service period, and if purchased and paid for to, a Reseller - pursuant to the provisions of your agreement with the Reseller. For more information about canceling the Paid Services you purchased from BidCiti.com, please visit BidCiti.com Help Center. For information about canceling Paid Services you purchased from a Reseller, please contact your Reseller. 7.2. Cancellation by BidCiti.com Failure to comply with any of the BidCiti.com Terms and/or to pay any due Fee shall entitle BidCiti.com, among other things, to suspend (until full payment is made) or cancel your User Account and User Platform (or certain features thereof), as well as the provision of any related BidCiti.com Services (e.g., Paid Services) or Third-Party Services to you. If you open a User Account via a Reseller or purchase Paid Services from a Reseller, then BidCiti.com is entitled to suspend, terminate or block access to your User Account and User Platform (or certain features thereof) as well as to the provisioning of any related BidCiti.com Services or Third Party Services to you, also if: (a) BidCiti.com is requested to do so by your Reseller; or if (b) Reseller fails to pay BidCiti.com any amounts due to BidCiti.com pursuant to the Reseller Agreement. You consent to these suspension and termination rights and acknowledge and agree that BidCiti.com shall have no liability to you of any kind with respect to any such suspension or termination. Your sole recourse with respect to any such suspension or termination shall be against the Reseller. 7.3. Loss of Data, Content and Capacity If your User Account or any BidCiti.com Services or Third Party Services related to your User Account are canceled (whether at your request or at Bid City’s discretion), it may cause or result in the loss of certain content, features, or capacity of your User Account, including any User Content, End User data or other usage data retained therein, and including any domain name reservation or registration that was included in such Services (“Capacity Loss”). BidCiti.com shall not be liable in any way for such Capacity Loss, or for saving a backup of your User Account, User Content or End User data. Please also note that additional Fees may apply to re-activation of a User Account and/or any BidCiti.com Services following their cancellation, as determined by BidCiti.com in its sole discretion. Following the termination of your User Account or User Platform, BidCiti.com reserves the right to delete all data in the normal course of operation. Data cannot be recovered once your User Account or User Platform is terminated. 8. E-Commerce 8.1. General The BidCiti.com Services also include certain features which enable you to sell goods, content, media, event tickets and services through your User Platform (“User Products”, and collectively with BidCiti.com Services – “E-Commerce”). You are solely responsible for your User Products and E-Commerce related activities, and any promotions and related Content contained or referred to in your User Platform, and compliance with any laws applicable thereto. We are merely providing the platform for you to manage your online E-Commerce activities. We are not involved in your relationship and/or any transaction with any actual or potential buyer of your User Products. When someone purchases your User Products, the payments for such transactions will be processed through BidCiti.com Payments or through a third-party payment service provider (“Payment Provider(s)”) 8.2. Payment Providers You acknowledge and agree that BidCiti.com Payments (if available in your country) will be your default payment provider. The BidCiti.com Payments account shall be governed by the BidCiti.com Payments Terms of Service, which are hereby incorporated by reference. Please read these terms of use service prior to publishing your site and accepting payments. In addition, subject to territorial restrictions, you may accept payments with Apple Pay. By using Apple Pay, you accept and agree to the Apple Pay Platform Web Merchant Terms and Conditions. The processing of payments by other Payment Providers shall be governed by such Payment Provider’s terms of service. We are not a party to your relationship with the Payment Provider and you are responsible for all interactions with any such Payment Providers, or for the actions of any of these Payment Providers. BidCiti.com may suspend, disable access to or remove from your User Account, User Platform(s) and/or the BidCiti.com Services, any Payment Provider, whether incorporated with or made part of your User Account and/or User Platform(s) at such time, without any liability to you or to any End Users. 8.3. Events Depending on your plan, BidCiti.com may charge you service fees for event tickets sold through your site. You hereby agree to pay such fees, as required by BidCiti.com, and authorize BidCiti.com to instruct its payment processing partners or your Payment Provider, as applicable, to deduct such fees from your relevant transactions, or to otherwise collect such fees. 8.4. E-Commerce Acknowledgments and Warranties By using any of our E-Commerce features, you acknowledge, warrant and agree that: you are solely and fully responsible for all Taxes and fees of any nature associated with your E-Commerce activities, including any Taxes related to the purchase or sale of the User Products, and to collect, report and remit the correct amounts to the appropriate authorities and/or inform your End Users of such and provide them with a duly issued invoice as required by law. Any Taxes indicated by the E-Commerce features provided to you by BidCiti.com are solely provided for illustration purposes only and may not be relied on in any way. You are responsible for and bear all costs of procuring and delivering your User Products, and for providing them in a safe and professional manner, consistent with industry standards. you are solely responsible for all statements and promises you make and for all assistance, warranty and support regarding the User Products, and shall provide true contact information on your User Platform for any questions, complaints or claims; and you may not offer or sell any User Products, or provide any information, Content or material regarding User Products, which may be deemed hazardous, counterfeit, stolen, fraudulent, offensive or abusive; which are prohibited for sale, distribution or use; or which otherwise fail to comply with any applicable laws, including with respect to consumer rights, intellectual property or privacy rights, product safety, trade regulations and sanctions, support, maintenance and export; and – BidCiti.com may, at any time and at its sole discretion, suspend, disable access to or remove your User Platform and/or any User Products whether or not incorporated, published with or made a part of your User Platform at such time, without any liability to you or to any End Users, including for any Capacity Loss resulted therefrom. 9. Video Services As part of the BidCiti.com Services, BidCiti.com may provide video services (such as BidCiti.com Video or BidCiti.com Pro Gallery) for managing videos on User Platforms (the "Video Services"). The use of the video services for your User Platform may require that you receive a license to use certain patents from BIDCITY.ORG (the "License"). It is your own exclusive responsibility to decide whether your activity requires a License and to obtain it. Information about the License can be obtained from JOHN@BIDCITY.ORG In addition to the aforesaid and in Section 15 of these Terms of Use and without any limitation of liability, you shall fully indemnify, defend and hold BidCiti.com its officers, directors, shareholders, employees, affiliates and agents, harmless from any and all damages and costs, obligations, losses, liabilities debt and expenses (including attorneys’ fees), as accrued, that arise out of or are related to infringement and/or misuse of the patent pool under the MPEG-LA consortium. Third Party Services The BidCiti.com Services enable you to engage, connect, further develop and procure certain third-party services, products and tools for enhancing your User Platform and your overall user experience, including, without limitation, domain registrars from which you may purchase a domain name for your User Website, third party applications and widgets offered via the BidCiti.com Website (including the BidCiti.com App Market), third party Licensed Content, media distribution services, sellers of tangible products, third party designers who may assist you with your User Platform, external databases, code packages, etc. (collectively, “Third-party Services”). You acknowledge and agree that regardless of the manner in which such Third Party Services may be offered to you (bundled or integrated within certain BidCiti.com Services, offered separately by BidCiti.com or persons certified or authorized by BidCiti.com, connected independently by you or otherwise offered anywhere on the BidCiti.com Services), BidCiti.com does not in any way endorse any such Third Party Services, or shall be in any way responsible or liable with respect thereto. The additional terms available here apply to your use of BidCiti.com Logo Maker, and are in addition to, and not in replacement of, the BidCiti.com Terms unless explicitly stated otherwise. 12. BidCiti.com Studio As part of the BidCiti.com Services, you may register to BidCiti.com Studio and gain access to the BidCiti.com Studio workspace (“BidCiti.com Studio Workspace”). The BidCiti.com Studio Workspace is only available to Users who are agencies or freelancers that build sites or applications for others (including those building for enterprise clients). BidCiti.com reserves the right to disable or discontinue the use of BidCiti.com Studio Workspace for Users that do not meet the above criteria. 13. Misconduct and Copyrights 13.1. Misconduct and Abuse When using BidCiti.com Services, you may be exposed to User Platforms, User Content or Third-Party Services from a variety of sources, which may be inaccurate, offensive, objectionable or illegal. You hereby waive any legal or equitable rights or remedies you have or may have against BidCiti.com with respect thereto. If you believe a User or any Third-Party Services acted inappropriately or otherwise misused any of the BidCiti.com Services, please immediately report such User and/or Third-Party Service to us via this form. You agree that your report shall not impose any responsibility or liability upon BidCiti.com, and that BidCiti.com may consider such report and act upon it, refrain from taking any such action or require additional information or documents before doing so, at its sole discretion. 13.2. Copyrights BidCiti.com acts in accordance with its interpretation of the Digital Millennium Copyright Act (“DMCA”). Changes & Updates BidCiti.com reserves the right to change, suspend or terminate any of the BidCiti.com Services (or any features thereof, or prices applicable thereto), and/or cancel your access to any of the BidCiti.com Services (including removal of any materials created by you in connection with the BidCiti.com Services) for any reason and/or change any of the BidCiti.com Terms with or without prior notice - at any time and in any manner. Bid City’s notice to you or to your Reseller will be deemed received and effective within twenty-four (24) hours after it was published or sent through any of the foregoing methods unless otherwise indicated in the notice. 17.4. Relationship The BidCiti.com Terms, and your use of the BidCiti.com Services, do not, and shall not be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between BidCiti.com and you. 17.5. Entire Agreement These Terms of Use, together with the BidCiti.com Terms and any other legal or fee notices provided to you by BidCiti.com, shall constitute the entire agreement between you and BidCiti.com concerning the subject matter hereof or thereof, and supersede any and all prior or contemporaneous agreements, understandings, promises, conditions, negotiations, covenants or representations, whether written or oral, between BidCiti.com and you, including those made by or between any of our respective representatives, with respect to any of the BidCiti.com Services. You further agree that you are not relying upon any promise, inducement, representation, statement, disclosure or duty of disclosure of BidCiti.com in entering any of the BidCiti.com Terms. 17.6. If you are a Reseller User, then your subscription with the Reseller with respect to your User Account or User Platform (or any part thereof) may be assigned to BidCiti.com. You agree that if your subscription (or any part thereof) to a BidCiti.com User Account or User Platform with the Reseller is assigned to BidCiti.com, your continued rights to access and use your User Account and User Platform will be subject to these Terms of Use, in their entirety (as may be amended from time to time) and you consent to the full application of these Terms of Use, including without limitation, the billing and payment provisions contained herein. You agree that following any such assignment, you shall, upon request by BidCiti.com, provide such information as is required to secure payment for any Paid Services commencing after such assignment. If you are a Reseller User your User Account may be assigned to BidCiti.com. In such a case, if you’d like to continue to use your User Account - you agree to be bound by BidCiti.com Terms of Use and to provide BidCiti.com with any required information to secure payment for any Paid Services you purchase. 17.7. Severability & Waivers If any provision of the BidCiti.com Terms is deemed by a court of competent jurisdiction to be invalid, unlawful, void, or for any reason unenforceable, then such provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions.
